INDEMNIFICATION.

TERMINATION.

Upon termination, the provisions of these Terms that by their nature should survive termination will remain in effect.

GOVERNING LAW AND JURISDICTION.

These Terms and your use of the Site are governed by and construed in accordance with the laws of the jurisdiction where Teadeus is located. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Site shall be instituted exclusively in the federal or state courts located in that jurisdiction.

ENTIRE AGREEMENT.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teadeus regarding your use of the Site. Any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and Teadeus are superseded by these Terms.

WAIVER AND SEVERABILITY.

The failure of Teadeus to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

ASSIGNMENT.

You may not assign or transfer these Terms, in whole or in part, without the prior written consent of Teadeus. Teadeus may freely assign or transfer these Terms without restriction. Any attempt to transfer or assign these Terms in violation of this section shall be null and void.

NOTICES.

Teadeus may provide notices to you via email or through the Site's messaging system. You agree that all notices, agreements, disclosures, or other communications that Teadeus provides to you electronically satisfy any legal requirement that such communications be in writing.
